THESE TERMS AND CONDITIONS ("TERMS" OR "AGREEMENT") CONSTITUTE A LEGAL AGREEMENT BETWEEN THE USER ("YOU" OR "YOUR") AND RICHMAN HOUSE BUSINESS CENTER L.L.C, REGISTRATION NO.: 1748102, LOCATED AT TOWER A, THE OPUS BY OMNIYAT, BUSINESS BAY, DUBAI, UAE, OPERATING UNDER LICENSE NO. 1018620, EMAIL: RICHMANOFFICES@GMAIL.COM (THE "COMPANY", "PLATFORM", "WE", "US", OR "OUR"), COLLECTIVELY REFERRED TO AS THE "PARTIES". PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SITE.
These Terms apply to your access and use of the Richman House Business Center corporate website and any other websites or applications operated by Richman House Business Center L.L.C that link to these Terms (collectively, the "Website"). By accessing the Website and/or using the Services, you agree, on behalf of yourself as an individual or on behalf of the legal entity you represent, to comply with the terms of this Agreement. Richman House Business Center L.L.C may modify these Terms and Conditions from time to time without prior notice. If you do not agree with these Terms, please discontinue your use of this Website immediately.
These Terms and Conditions are to be read in conjunction with our Privacy Policy and Cookie Policy, which describe how we collect and use the information you provide to us.
1. TERMS AND DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings set forth below:
1.1. User: An individual, organization, or any other entity that manages an Account and is authorized to access the Services. Users may be standard users, agents, or affiliates of a company or user.
1.2. Affiliate: In relation to a person or entity, any other person or entity who: (a) directly or indirectly controls the first-named person; or (b) is directly or indirectly controlled by the first-named person; or (c) is under common control with the first-named person. Control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a person or entity, whether through the ownership of voting securities, by contract, or otherwise.
1.3. Agent: An individual, organization, or entity acting on behalf of the Company and on their own behalf, but essentially for the Company's benefit, who:
● Enters into agreements with interested parties for Services related to Richman House real estate objects;
● Conducts business contacts and negotiations with Users;
● Monitors compliance with concluded agreements;
● Ensures the protection of User interests by explaining rights, obligations, and legal consequences of transactions;
● Verifies the accuracy of information regarding legal entities and individuals;
● Advertises Company objects under the agreed terms; and
● Maintains confidentiality regarding the transaction, except as required by law.
1.4. Visitor: Any third party who is not a party to this Agreement or a representative thereof, but who is legally admitted to Richman House Business Center facilities.
1.5. Administrator: An authorized representative of Richman House Business Center L.L.C entrusted with management functions by special order.
1.6. Agreement: These Terms and Conditions and any other documents incorporated herein by reference.
1.7. Account: The User's account created upon registration, necessary to access and use the relevant Services.
1.8. Registration: The process of creating a new User Account by entering credentials into the registration form on the Website.
1.9. Personal Information: Any information relating to an identified or identifiable individual, organization, or other entity, subject to applicable data protection laws.
1.10. Confidential Information: Any information regarding persons, objects, facts, events, phenomena, and processes, regardless of format, constituting banking, official, or commercial secrets. This includes production, technical, economic, and organizational data, intellectual property, and professional methods that have actual or potential commercial value due to their non-availability to third parties, and which are not legally accessible to the public. It includes information protected under the laws of the jurisdiction where the specific Richman House Business Center facility is located.
1.11. Services: The publicly available offerings of Richman House Business Center L.L.C, including services provided on the Website, local components (e.g., client software or marketing tools), updates, and technical support. We may update the Services at any time at our sole discretion.
1.12. Object: A unit of Richman House real estate, including office spaces, meeting rooms, event spaces, and other facilities available for reservation, booking, renting, and payment on the Website.
1.13. Booking: The act of ordering, purchasing, or paying for an Object or Service.
1.14. Tariff Package: The fee charged when using, reserving, or booking Objects and/or Services on the Platform.
1.15. Richman House Business Center: Refers to the company Richman House Business Center L.L.C based in the UAE, the online platform, the application, and any other websites operated by the Company.
2. SERVICE OVERVIEW
2.1. We (Richman House Business Center L.L.C and its affiliates) provide an online platform through which Users can find properties (offices, meeting rooms, event spaces) and related services, and reserve, rent, or pay for them. Company Agents can advertise, market, and sell Objects and Services. By making a Booking via the Website, you enter into a direct, legally binding contractual relationship with Richman House Business Center L.L.C regarding the reserved Object or Service.
2.2. Agents acting as individuals or legal entities on our Platform operate as professional landlords in accordance with the laws applicable in the jurisdiction where the specific Richman House Business Center facility is located. The distinction between "individual" and "legal entity" is maintained for regulatory compliance and is not related to taxation (including VAT) unless otherwise required by law.
3. RIGHTS
3.1. Richman House Business Center L.L.C reserves the right, at its sole discretion, to suspend, restrict, or terminate a User's access to the Platform, and to cancel any reservation or participation in the event of abuse. Abuse includes, but is not limited to, a violation of these Terms, the use of an invalid credit/debit card, inappropriate behavior, violence or threats against Company staff or other persons, harassment, discrimination, offensive conduct, or fraudulent actions aimed at the Company or other Users.
4. PAYMENT
4.1. Richman House Business Center L.L.C may offer the option to pay for a Booking (in whole or in part) via secure online payment. Payments are processed by a third-party provider from your credit/debit card or bank account. Any payment transferred to our account constitutes payment for the value of the Object or Service booked and settles the obligation for that amount. Payments made are generally non-refundable unless otherwise stated.
4.2. For certain non-refundable rates or special offers, we may require payment in full by bank transfer or credit/debit card at the time of Booking. Your card may be pre-authorized or charged immediately (sometimes without the option for a refund). Please check the booking details carefully before proceeding. The Company is not responsible for any authorized, unauthorized, or erroneous debiting of funds by the Platform and will not refund amounts lawfully debited or blocked (including prepayments or cancellation penalties).
4.3. In the event of credit/debit card fraud or unauthorized use by third parties, you should contact your bank or card issuer. Richman House Business Center L.L.C assumes no liability for the illegal use of your bank card through no fault of our own.
5. PERSONAL INFORMATION
5.1. Personal data collected via the Website is stored and processed in accordance with the principles of data protection laws applicable in the jurisdiction where the specific Richman House Business Center facility is located, the User's consent, and this Agreement.
5.2. The Company processes personal data based on legality, specific purpose, proportionality, accuracy, and the avoidance of combining incompatible databases.
5.3. When using the Website, we process user data via tools such as cookies, Google Analytics, and Yandex.Metrica. This data may include visit time, pages viewed, IP address, browser type, operating system, and referral URLs.

5.5. By using the Website, you agree to this processing. If you do not agree, you must disable cookies in your browser settings (which may affect Website functionality) or discontinue use of the Website.
5.6. We maintain the confidentiality of personal data. Unauthorized processing is strictly prohibited.
5.7. Upon Account deletion, Richman House Business Center L.L.C reserves the right to retain archived backups of User personal data for five (5) years from the date of deletion, in compliance with applicable laws.
6. USER OBLIGATIONS
6.1. The User agrees to use the Website only for personal, non-commercial purposes and not to engage in actions that violate UAE legislation or international law (including intellectual property and copyright laws), generally accepted moral standards, or actions that disrupt the Website's operation.
6.2. Unless expressly permitted, you may not: (a) copy, reproduce, modify, or distort the Website or Services; (b) sell, distribute, broadcast, or transmit the Website content to third parties; (c) create derivative works based on the Website; or (d) reverse engineer, decompile, or disassemble any software used on the Website.
6.3. When citing materials from the Website, a hyperlink to the source is mandatory.
7. WARRANTIES AND DISCLAIMER
7.1. THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.
7.2. Richman House Business Center L.L.C disclaims all liability for any direct or indirect losses associated with the use of materials on the Website or external resources linked therein.
7.3. We are not responsible for losses incurred due to technical failures of hardware or software, or User actions that violate standard internet safety practices.
7.4. We make no representations regarding the accuracy, timeliness, or reliability of the materials on the Website.

8. LIMITATION OF LIABILITY

8.2. Statements regarding future results ("forward-looking statements") reflect current expectations and are subject to risks and uncertainties. The Company assumes no obligation to update these statements and makes no warranty that projected results will be achieved.
8.3. Your sole and exclusive remedy for dissatisfaction with the Website or Services is to stop using them.
9. INTELLECTUAL PROPERTY RIGHTS
9.1. All materials on the Website, including text, images, software, and logos ("Website Materials"), are protected by copyright and other intellectual property rights owned by the Company or its licensors.
9.2. Materials are for personal, non-commercial use only. You may not distribute, reproduce, or use these materials for commercial purposes without prior written permission from the Company.
10. MISCELLANEOUS
10.1. Governing Law: All disputes arising from or related to this Agreement shall be resolved in accordance with the laws of the jurisdiction where the specific Richman House Business Center facility is located (primarily the laws of the Emirate of Dubai and the Federal Laws of the UAE). You agree to submit to the jurisdiction of the competent courts in said location.
10.2. The Company's failure to act with respect to a breach by the User does not waive its right to act with respect to subsequent or similar breaches.
10.3. The Company reserves the right to modify this Agreement unilaterally at any time. Changes take effect immediately upon posting on the Website. Continued use of the Website constitutes acceptance of the modified Terms.
